By displaying your content, you grant Proximity a non-exclusive, worldwide irrevocable, sub licensable license to use, reproduce, adapt, publish, translate and distribute it in any and all media.

Your content must be your own and must not be invading any third-party’s rights. Proximity reserves the right to remove any of your content from this website at any time without notice.

No warranties

This website is provided “as is,” with all faults, and Proximity express no representations or warranties, of any kind related to this website or the materials contained on this website. Also, nothing contained on this website shall be interpreted as advising you.

Limitation of liability

In no event shall Proximity, nor any of its officers, directors and employees, shall be held liable for anything arising out of or in any way connected with your use of this website whether such liability is under contract.  Proximity, including its officers, directors and employees shall not be held liable for any indirect, consequential or special liability arising out of or in any way related to your use of this website.

Indemnification

You hereby indemnify to the fullest extent Proximity from and against any and/or all liabilities, costs, demands, causes of action, damages and expenses arising in any way related to your breach of any of the provisions of these terms.

Severability

If any provision of these terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.

Variation of Terms

Proximity is permitted to revise these terms at any time as it sees fit, and by using this website you are expected to review these terms on a regular basis.

Assignment

Proximity is permitted to assign, transfer, and subcontract its rights and/or obligations under these terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

Entire Agreement

These terms constitute the entire agreement between Proximity and you in relation to your use of this website, and supersede all prior agreements and understandings.

Cancellations

Your subscription can be cancelled, in writing, at any time, by contacting support@proximitycampaigns.com. In the event the subscription has not fulfilled the minimum 3 month commitment, the monthly rate listed on your plan will be charged through the end of the quarterly requirement, and your access within the Proximity platform will also be active through the end of the 3 month commitment.  Upon the completion of the cancellation process, the cancellation will take effect at the end of the current billing cycle.  Prorated refunds are not offered at any time for any reason.  If your plan is cancelled, Proximity cannot guarantee the current price if you choose to re-subscribe in the future, and you will need to select from our new plans and pricing options.

Early cancellations are subject to a fee equal to one month’s subscription fee.  That cancellation will take effect at the end of the current billing period.

Proximity is a nationwide business offering services across the the United States and cannot monitor each individual election cycle; it is your responsibility to manage, cancel, or shift your plan to a Proximity In-Office Subscription, or a Data-Hold Subscription.  

Term & Termination

• Campaigning that is slanderous or libelous.
• Campaigning that provokes hatred, hate crimes, or illegal behavior.
• Campaigning that is deliberately deceptive or deceitful.
• Campaigning that uses threatening or violent communication.
• Campaigning that seeks to undermine or overthrow United States democratic institutions.
• Campaigning that promotes distrust in free and fair elections.
• Campaigning that is illegal or in violation of federal or local election law.

Governing Law & Jurisdiction

Payment processing services for [account holder term, for example, drivers or sellers] on Proximity’s platform are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to [this agreement / these terms / and so on] or continuing to operate as a [account holder term] on Proximity’s platform, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Proximity enabling payment processing services through Stripe, you agree to provide Proximity accurate and complete information about you and your business, and you authorize Proximity to share it and transaction information related to your use of the payment processing services provided by Stripe.

Proximity uses Stripe to make payouts to [account holder term, for example, drivers or sellers]. The Stripe Recipient Agreement applies to your receipt of such Payouts. To receive payouts from the Proximity platform, you must provide Proximity accurate and complete information about you and your business, and you authorize Proximity Campaigns to share it and transaction information related to your payout with Stripe.

These terms will be governed by and interpreted in accordance with the laws of the state of Utah, and you submit to the non-exclusive jurisdiction of the state and federal courts located in Utah for the resolution of any disputes.
